General Terms and Conditions for Tour Package Contract GulliverWAY, unique emotions for authentic travelers

CONTENT OF THE TOUR PACKAGE SALES CONTRACT

The description of the tour package contained in the catalog or in the separate travel program, as well as the booking confirmation of the services requested by the traveler along with the documents, constitute an integral part of the travel contract. When the contract is intermediated by a Travel Agency, the booking confirmation is sent by the Tour Operator to the Travel Agency, acting as the traveler's agent, and the traveler is entitled to receive it from the same. By signing the proposal for the purchase of a tour package, the Traveler expressly declares to have understood and accepted, for themselves and for the individuals for whom they request the all-inclusive service, both the travel contract as regulated therein, the warnings contained therein, and these general conditions.

1. REGULATORY SOURCES

The sale of tour packages, which include services to be provided both nationally and internationally, is governed by Articles 32-51 of the Italian Legislative Decree no. 79 of May 23, 2011 (the "Tourism Code”), as currently amended by Legislative Decree no. 62 of June 6, 2018, implementing EU Directive no. 2015/2302, as well as by the provisions of the Civil Code on transport, service contracts, and agency, to the extent applicable, and by the Navigation Code (Royal Decree no. 327 of March 30, 1942).

2. ADMINISTRATIVE REGIME

The organizer and the selling agency of the tour package to which the traveler turns must be authorized to perform their respective activities in accordance with current legislation. The Organizer and the Seller must disclose to third parties, before the conclusion of the contract, the details of the insurance policy covering risks arising from professional liability, as well as the details of the guarantee against the risk of insolvency or bankruptcy of the organizer and the seller, each within their respective competence, for the purpose of refunding sums paid or returning the traveler to the place of departure.

3. DEFINITIONS

For the purposes of this contract:

  1. Traveler: anyone who intends to conclude or enter into a contract or is authorized to travel under an organized tourism contract;
  2. Professional: any natural or legal person, whether public or private, who, in the course of their commercial, industrial, artisanal, or professional activities, acts in tourism contracts, either directly or through another person acting on their behalf, as an organizer, seller, professional facilitating related tourism services, or supplier of tourism services, in accordance with applicable regulations;
  3. Organizer: the professional who combines packages and sells them or offers them for sale directly or together with another professional;
  4. Seller: the professional other than the Organizer who sells or offers for sale packages combined by an organizer.
  5. Catalog: a printed or online publication of products and tour packages.

4. NOTION OF TOUR PACKAGE

A tour package is defined as the "combination of at least two different types of tourism services for the purpose of the same trip or vacation if at least one of the following conditions is met:

  1. such services are combined by a single professional, even at the traveler's request or in accordance with their selection, before a single contract is concluded for all services;
  2. such services, even if concluded with separate contracts with individual tourism service providers, are:
    1. purchased from a single point of sale and selected before the traveler consents to payment;
    2. offered, sold, or billed at a flat or global price;
    3. advertised or sold under the name "package" or a similar name;
    4. combined after the conclusion of a contract in which the professional allows the traveler to choose from a selection of different types of tourism services or purchased from different professionals through connected online booking processes where the traveler's name, payment details, and email address are transmitted by the professional with whom the first contract is concluded to one or more professionals, and the contract with the latter or those other professionals is concluded no later than 24 hours after the confirmation of the booking of the first tourism service.

5. PRE-CONTRACTUAL INFORMATION TO THE TRAVELER

  1. Before concluding a tourist package contract or a corresponding offer, the organizer and, in the case where the package is sold through a seller, the seller as well, shall provide the traveler with the following information:
    1. The main characteristics of the tourist services, such as:
      1. The destination or destinations of the trip, the itinerary, and the periods of stay with relevant dates, and if accommodation is included, the number of nights included;
      2. The means, features, and categories of transportation, departure and return locations, dates, and times, duration, intermediate stopping places, and connections; in cases where the exact schedule is not yet established, the organizer, and if applicable, the seller, shall inform the traveler of the approximate departure and return times;
      3. The location, main features, and, where applicable, the tourist category of the accommodation in accordance with the regulations of the destination country;
      4. Meals provided;
      5. Visits, excursions, or other services included in the total agreed package price;
      6. Tourist services provided to the traveler as a member of a group and, in such cases, the approximate group size;
      7. The language in which the services are provided;
      8. Whether the trip or vacation is suitable for persons with reduced mobility and, upon the traveler's request, precise information on the suitability of the trip or vacation taking into account the traveler's needs;
    2. The commercial name and geographical address of the organizer and, if present, the seller, their telephone contacts, and email addresses;
    3. The total price of the package, including taxes and all charges, taxes, and other additional costs, including any administrative and management fees, or, where these cannot reasonably be calculated before the conclusion of the contract, an indication of the type of additional costs that the traveler may still have to bear;
    4. The payment methods, including any amount or percentage of the price to be paid as a deposit and the schedule for payment of the balance, or the financial guarantees that the traveler is required to pay or provide;
    5. The minimum number of persons required for the package and the deadline, before the start of the package for any contract termination in case of failure to reach the number;
    6. General information regarding passport and visa conditions, including approximate times for obtaining visas and health formalities of the destination country;
    7. Information about the traveler's right to withdraw from the contract at any time before the start of the package upon payment of adequate withdrawal fees, or, if provided, standard withdrawal fees required by the organizer;
    8. Information on the optional or mandatory subscription to insurance covering the traveler's unilateral withdrawal from the contract or assistance expenses, including repatriation, in case of accident, illness, or death;
    9. Details of the coverage.
  2. For package travel contracts, concluded by phone, the organizer or the professional shall provide the traveler with the standard information referred to in Annex A, Part II, to this decree, and the information referred to in paragraph 1.

  3. Liability insurance policy: Allianz SPA no. 114099351 in accordance with the provisions of Articles 44 and 45 of the Tourism Code.
  4. Guarantees for Tourists: IMA ITALIA ASSISTANCE policy no. SOLV/2023/171
  5. These conditions are valid for departures from 01/01/2023 to 12/31/2024.

6. CONCLUSION OF THE TOURIST PACKAGE CONTRACT

  1. The proposal for the purchase of a tourist package shall be drawn up on a specific contractual form, if applicable, electronic or, in any case, on a durable medium, completed in all its parts, and signed by the client, who shall receive a copy. The acceptance of the proposal for the purchase of the tourist package is considered perfected, with the consequent conclusion of the contract, only when the organizer sends the corresponding confirmation, also by electronic means, to the traveler at the selling Travel Agency, which will deliver it to the traveler, or directly to the traveler in the case of direct online purchase by the Traveler on the GulliverWay system. Information regarding the tourist package not included in the contractual documents, brochures, or other means of written communication shall be provided by the organizer before the start of the trip.
  2. Specific requests regarding the provision and/or execution of certain services included in the tourist package, including the need for airport assistance for persons with reduced mobility, requests for special meals on board or at the destination, shall be made at the time of booking and shall be the subject of a specific agreement between the Traveler and the Organizer, through the mandating Travel Agency or through the GulliverWay online purchase system.
  3. In the case of contracts negotiated outside commercial premises, the traveler has the right to withdraw from the tourist package contract within a period of five days from the date of conclusion of the contract or from the date on which they receive the contractual terms and preliminary information, if later, without penalties and without providing any reasons. In cases of offers with significantly reduced rates compared to current offers, the right of withdrawal is excluded. In this latter case, the organizer documents the price change by adequately highlighting the exclusion of the right of withdrawal.

7. PAYMENTS

  1. Unless otherwise specified in the pre-contractual information or the contract, at the time of subscribing to the purchase proposal of the tourist package, the following payments shall be made:
    1. The registration fee or handling fee if applicable;
    2. The flight cost, if applicable;
    3. The insurance premium;
    4. An advance payment of the price of the tourist package as published in the catalog or in the package quotation provided by the Organizer.

    Payments are irrevocably established as follows:

    For GulliverTour branded products
    • 100% balance payment at the time of booking

    For project-based products
    • 40% at the time of booking (for ground services)
    • Balance of the flight and insurance premium + 40% of ground services in case of a package, to be paid at the time of booking
    • Balance 30 days before departure
    • Immediate balance if departure occurs less than 30 days from departure

    For request-based products (products subject to reconfirmation)
    • Down payment at the time of booking as indicated in the product
    • Balance upon confirmation of product availability

    For all other products
    • 100% balance payment at the time of booking

  2. For bookings made after the date indicated as the final deadline for balance payment, the entire amount of the trip must be paid at the time of subscribing to the purchase proposal.
  3. Failure to make the payments as mentioned above on the specified dates, and without prejudice to any warranty actions, constitutes an express termination clause, resulting in automatic termination to be carried out by a simple written communication, via fax or email, to the selling Travel Agency or to the traveler's domicile, including electronic, if provided.

The price balance is considered paid when the amounts are received by the organizer directly from the traveler or through the intermediary Travel Agency chosen by the same traveler.

8. PRICE

  1. The price of the tourist package is determined in the contract, with reference to what is indicated in the catalog or non-catalog program, and any subsequent updates to these catalogs or non-catalog programs.
  2. After the conclusion of the tourist package contract, prices may be increased as indicated by the Organizer, up to a maximum of 8%, only if the contract expressly provides for it and specifies that the traveler is entitled to a corresponding price reduction, as well as the calculation method for the price revision. In this case, the traveler is entitled to a price reduction corresponding to the decrease in costs, which occurs after the conclusion of the contract and before the start of the package.
  3. Price increases are only possible as a result of changes related to:
    1. The price of passenger transport based on the cost of fuel or other sources of energy;
    2. The level of taxes or fees on tourist services included in the contract imposed by third parties not directly involved in the execution of the package, including landing, disembarkation, and boarding taxes at ports and airports;
    3. Relevant exchange rates for the package.
  4. If the price increase under this article exceeds 8 percent of the total price of the package.

9. MODIFICATION OR CANCELLATION OF THE TOURIST PACKAGE BEFORE DEPARTURE

  1. Before the start of the package, the organizer cannot unilaterally change contract terms other than the price, unless this right has been reserved in the contract, and the modification is of minor importance. The organizer communicates the modification to the traveler clearly and precisely on a durable medium.
  2. If, before the start of the package, the organizer is compelled to significantly change one or more main characteristics of the tourist services, or cannot meet the specific requests, or proposes to increase the package price by more than 8 percent, the traveler can either accept the proposed modification or withdraw from the contract without incurring withdrawal fees. In case of withdrawal, the organizer can offer the traveler a substitute package of equivalent or higher quality.
  3. The organizer informs the traveler, without undue delay, clearly and precisely on a durable medium or via PEC:
    1. Of the proposed changes under paragraph 2 and their impact on the package price under paragraph 4;
    2. Of a reasonable period within which the traveler must inform the organizer of their decision under paragraph 2.

10. TRAVELER'S WITHDRAWAL

  1. The traveler can withdraw from the tourist package contract at any time before the start of the package, upon reimbursement to the organizer of reasonable and justifiable expenses incurred, the amount of which the latter provides a justification to the traveler upon request.
  2. The tourist package contract may include reasonable standard penalties for withdrawal, calculated based on the timing of withdrawal from the contract and the expected cost savings and anticipated income resulting from the reallocation of tourist services.
  3. In the absence of specific standard withdrawal penalties, the amount of withdrawal penalties corresponds to the package price reduced by cost savings and income resulting from the reallocation of tourist services.
  4. In the event of unavoidable and extraordinary circumstances occurring at the destination or in its immediate vicinity and having a substantial impact on the execution of the package or the transportation of passengers to the destination, the traveler has the right to withdraw from the contract before the start of the package without incurring withdrawal fees, and to receive a full refund of payments made for the package, but is not entitled to additional compensation.
  5. The organizer may withdraw from the tourist package contract and offer the traveler a full refund of payments made for the package, but is not required to provide additional compensation if:
    1. If the number of people registered for the package is less than the minimum specified in the contract, and the organizer communicates the withdrawal from the contract to the traveler within the deadline set in the contract;
    2. The organizer is unable to execute the contract due to unavoidable and extraordinary circumstances and communicates the withdrawal from the contract to the traveler without undue delay before the start of the package.
  6. The organizer shall proceed with all refunds as prescribed in accordance with paragraphs 4 and 5 or, with regard to what is provided in paragraphs 1, 2, and 3, shall refund any payments made by or on behalf of the traveler for the package after deducting the appropriate expenses, without undue delay and in any case within fourteen days from the withdrawal. In cases covered by paragraphs 4 and 5, the resolution of contracts functionally connected with third parties shall be determined.

In the event of withdrawal before departure, the following charges will be applied: administrative handling costs, insurance premiums (if applicable), and penalties to the extent indicated below, unless more restrictive conditions (related to peak seasons or full occupancy of facilities) are communicated to the traveler during the quotation phase and, therefore, before the conclusion of the contract:


For GulliverTour brand products

  • 100% of the total cost of the trip from the date of booking confirmation

For project-based products

  • 40% of the total cost of the trip from the date of confirmation up to 49 days before departure.
  • 60% of the total cost of the trip if the cancellation is communicated between 50 and 31 days before departure.
  • 100% of the cost from the 30th day up to the day of departure or in case of "no-show."

For products on request

  • 100% of the total cost of the trip from the date of booking confirmation

For all other products

11. SUBSTITUTIONS AND TRANSFER OF THE TOURIST PACKAGE TO ANOTHER TRAVELER

  1. The traveler, with prior notice provided to the organizer in a durable medium no later than thirty days before the start of the package, can transfer the tourist package contract to a person who meets all the conditions for the use of the service.
  2. The transferor and the transferee of the tourist package contract are jointly responsible for the payment of the remaining price and any rights, taxes, and additional costs, including any administrative and management fees resulting from such transfer.
  3. The organizer informs the transferor of the actual costs of the transfer, which cannot be unreasonable and should not exceed the expenses actually incurred by the organizer as a result of the transfer of the tourist package contract. The organizer also provides the transferor with evidence of the rights, taxes, or other additional costs resulting from the transfer of the contract.
  4. In any case, the traveler requesting a change to an element related to an already confirmed booking, provided that the request does not constitute a contractual novation and is feasible, shall pay the Tour Operator, in addition to the expenses resulting from the modification itself, a fixed lump-sum cost.

12. TRAVELER'S OBLIGATIONS

  1. During the negotiations and, in any case, before the conclusion of the contract, the Traveler is provided in writing with general information concerning passports, visas, and health requirements necessary for departure.
  2. For regulations related to the departure of minors, explicit reference is made to what is indicated on the website of the State Police. However, it is clarified that minors must possess a valid personal document for departure, such as a passport, or for EU countries, a valid identity card for travel. Regarding the departure of minors under the age of 14 and the departure of minors for whom authorization from the Judicial Authority is required, the prescriptions indicated on the State Police should be followed.
  3. Travelers must, in any case, obtain the corresponding information through their diplomatic representations and/or the respective official government information channels. In any case, travelers shall, before departure, verify its accuracy with the competent authorities (for Italian citizens, the local Police Headquarters or the Ministry of Foreign Affairs through the website www.viaggiaresicuri.it or the Central Telephone Operations at +39 06.491115), and comply with it before traveling. In the absence of such verification, no responsibility for the failure to depart of one or more travelers can be attributed to the selling agency or the organizer.
  4. Travelers must, in any case, inform the seller and the organizer of their citizenship at the time of booking the tourist package or tourist service. At the time of departure, they must ensure that they are in possession of vaccination certificates, individual passports, and any other valid documents for all countries covered by the itinerary, as well as residence visas, transit visas, and any health certificates that may be required.
  5. Furthermore, in order to assess the socio/political, health-related security situation, and any other useful information concerning the destination countries, and therefore the objective usability of the services purchased or to be purchased, the traveler shall be responsible for obtaining official general information from the Government of its country.
    The information above is not included in the catalogs of Tour Operators - online or in print - as they contain descriptive information of a general nature as indicated in the informational brochure and not information that changes over time. Therefore, travelers must take responsibility for these aspects. Travelers must also adhere to the rules of normal prudence and diligence and those specific to the destination countries of the trip, as well as all the information provided to them by the organizer, and the regulations and administrative or legislative provisions related to the tourist package. Travelers will be held responsible for all damages that the organizer and/or the seller may incur due to the failure to comply with the above-mentioned obligations, including the expenses necessary for their repatriation.
  6. The organizer or the seller who has granted compensation or a price reduction, or paid damages, or has been forced to fulfill other obligations prescribed by law, has the right of recourse against the parties who contributed to the occurrence of the circumstances or events that resulted in compensation, price reduction, damages, or other obligations, as well as against the parties required to provide assistance and accommodation under other provisions, in the event that the traveler cannot return to the place of departure. The organizer or the seller who has compensated the traveler is subrogated, up to the amount of the compensation paid, in all the rights and actions of the traveler against the third parties responsible; the traveler provides the organizer or the seller with all documents, information, and elements in their possession that are useful for the exercise of the right of subrogation.

13. RESPONSIBILITY REGIME OF THE ORGANIZER

  1. The Organizer is responsible for the execution of the tourist services provided in the tourist package contract, regardless of whether these tourist services are to be provided by the organizer itself, its assistants or employees when acting in the performance of their functions, by third parties whose work it uses, or by other providers of tourist services.
  2. The traveler, promptly informs the Organizer, directly or through the seller, taking into account the circumstances of the case, of any lack of conformity identified during the execution of a tourist service provided in the tourist package contract.
  3. If one of the tourist services is not performed as agreed in the tourist package contract, the Organizer remedies the lack of conformity, unless this is impossible or excessively burdensome, taking into account the nature of the lack of conformity and the value of the tourist services affected by the defect.
  4. Subject to the exceptions provided for in paragraph 3, if the Organizer does not remedy the lack of conformity within a reasonable period set by the traveler, taking into account the duration and characteristics of the package, following the complaint made in accordance with paragraph 2, the traveler may personally remedy the lack of conformity and request reimbursement of the necessary, reasonable, and documented expenses. If the Organizer refuses to remedy the lack of conformity or if it is necessary to remedy it immediately, the traveler does not need to specify a deadline.
  5. If a lack of conformity, constitutes a significant non-performance of the tourist services included in a package, and the Organizer does not remedy it within a reasonable period set by the traveler, taking into account the duration and characteristics of the package, following the complaint made in accordance with paragraph 2, the traveler may, without expense, legally and immediately terminate the tourist package contract or, if applicable, request a price reduction, subject to any compensation for damages. In the event of contract termination, if the package included passenger transportation, the Organizer shall also ensure the traveler's return with equivalent transportation without undue delay and without additional costs to the traveler.
  6. Where it is impossible to ensure the traveler's return, the Organizer shall cover the necessary accommodation costs, if possible, of an equivalent category to what was specified in the contract, for a period not exceeding three nights per traveler or for the longer period provided for by EU regulations on passenger rights, applicable to relevant means of transport.
  7. The limitation of costs under paragraph 6 does not apply to persons with reduced mobility and their attendants, pregnant women, unaccompanied minors, and persons requiring specific medical assistance, provided that the Organizer has been notified of their special needs at least forty-eight hours before the start of the package. The Organizer cannot invoke unavoidable and extraordinary circumstances to limit liability under this paragraph if the transportation service provider cannot invoke the same circumstances under applicable EU regulations.
  8. If, due to unforeseeable circumstances not attributable to the Organizer, it is impossible to provide, during the execution, a substantial part in terms of value or quality, of the combination of tourist services specified in the tourist package contract, the Organizer offers, at no extra cost to the traveler, alternative solutions of adequate quality, where possible equivalent or superior, to those specified in the contract, to ensure the continuation of the package, including the possibility that the traveler's return to the place of departure is not provided as agreed. If the proposed alternative solutions result in a package of lower quality than specified in the tourist package contract, the Organizer grants the traveler an appropriate price reduction.
  9. The traveler may only reject the proposed alternative solutions if they are not comparable to what was agreed in the tourist package contract or if the price reduction offered is inadequate.
  10. If it is impossible to arrange alternative solutions or the traveler rejects the proposed alternative solutions, in accordance with paragraph 8, the traveler is entitled to a price reduction. In case of failure to offer as required by paragraph 8, paragraph 5 applies.
  11. Where, due to unforeseeable circumstances not attributable to the Organizer, it is impossible to ensure the traveler's return as agreed in the tourist package contract, paragraphs 6 and 7 apply.

14. SELLER'S LIABILITY REGIME

  1. The Seller is responsible for the execution of the mandate conferred by the traveler through the travel intermediary contract, regardless of whether the service is provided by the seller itself, its assistants or employees when acting in the performance of their functions, or by third parties whose work it uses, with the fulfillment of the obligations being assessed with regard to the diligence required for the exercise of the corresponding professional activity.
  2. The Seller is not responsible for booking errors attributable to the traveler or due to unavoidable and extraordinary circumstances.
  3. The traveler's right to compensation for damages related to the Seller's liability is subject to a two-year statute of limitations from the date of the traveler's return to the place of departure.

15. LIMITS OF COMPENSATION

The tourist package contract may provide for the limitation of compensation due from the organizer, except for damages to the person or those caused intentionally or through negligence, provided that such limitation is not less than triple the total price of the package.

The right to compensation for damages to the person is subject to a three-year statute of limitations from the date of the traveler's return to the place of departure or the longer period provided for compensation for damages to the person by the provisions governing the services included in the package.

16. POSSIBILITY TO CONTACT THE ORGANIZER THROUGH THE SELLER

  1. The Traveler may address messages, requests, or complaints regarding the execution of the package directly to the Seller through whom it was purchased, who, in turn, promptly forwards such messages, requests, or complaints to the Organizer.
  2. For the purpose of complying with deadlines or limitation periods, the date on which the seller receives messages, requests, or complaints under paragraph 1 is considered the date of receipt also for the Organizer.

17. OBLIGATION TO PROVIDE ASSISTANCE

  1. The Organizer provides adequate assistance without delay to the traveler who is in difficulty, in particular by providing appropriate information regarding healthcare services, local authorities, and consular assistance, and assisting the traveler in making remote communications and finding alternative tourist services.
  2. The Organizer may demand payment of a reasonable cost for such assistance if the problem is intentionally caused by the traveler or is their fault, within the limits of the expenses actually incurred.

18. INSURANCE AGAINST CANCELLATION AND REPATRIATION EXPENSES

If not expressly included in the price, it is possible and advisable to take out special insurance policies against expenses resulting from the cancellation of the package, accidents, and/or illnesses that also cover repatriation expenses, as well as loss and/or damage to luggage. The rights arising from insurance contracts must be exercised by the traveler directly with the insurance companies involved, under the conditions and in accordance with the procedures specified in the policies themselves, as outlined in the policy terms and conditions published in the catalogs or provided in brochures made available to travelers at the time of departure.

19. ALTERNATIVE DISPUTE RESOLUTION (ADR)

The Organizer may propose to the traveler - in the catalog, documentation, on its website, or in other forms - alternative methods of resolving disputes (ADR - Alternative Dispute Resolution). In such cases, the Organizer will specify the type of alternative resolution proposed and the effects that such participation entails.

20. TRAVELER PROTECTION

  1. The Organizer and the Seller established within the national territory are covered by a civil liability insurance contract in favor of the traveler for the compensation of damages resulting from the breach of their respective obligations under their contracts.
  2. Package travel contracts are supported by insurance policies or bank guarantees. For trips abroad and trips conducted within a single country, including trips in Italy, in cases of insolvency or bankruptcy of the Organizer or the Seller, these guarantees ensure, upon the traveler's immediate request, the refund of the price paid for the purchase of the package and the traveler's immediate return if the package includes the traveler's transportation, as well as, if necessary, the payment of food and accommodation before the return. The guarantee is effective, adequate in terms of business volume, and covers reasonably foreseeable costs, the amounts of payments made by or on behalf of travelers in relation to packages, taking into account the duration of the period between advances and the final balance and the completion of the packages, as well as the estimated cost of repatriation in case of insolvency or bankruptcy of the Organizer or the Seller.
  3. Travelers benefit from protection in case of insolvency or bankruptcy of the Organizer or the Seller regardless of their place of residence, departure, or the place of sale of the package and regardless of the EU Member State in which the entity responsible for providing protection in case of insolvency or bankruptcy is established.
  4. In cases provided for in paragraph 2, in addition to a refund or immediate return, the traveler may be offered the continuation of the package.

21. OPERATIONAL CHANGES

Considering the significant advance publication of catalogs containing information about service utilization methods, please note that the flight schedules and routes indicated in the acceptance of the proposal to purchase services may be subject to changes as they are subject to subsequent validation. Flights and Airport Taxes:
The participation fees that include air passages have been calculated based on specific booking classes. In case of unavailability, the supplement for available classes will be automatically proposed. Airport taxes are never included and are indicated in each program as indicative. The exact amount will be communicated only at the time of ticket issuance. In case of contract cancellation, not all taxes are always refundable.
